Terms and Conditions
These Terms and Conditions (“Agreement”) govern the provision of video production, content creation, and associated services provided by ANEXTVID (“we”, “our”, or “us”) to the client (“you” or “the Client”). By engaging with our services, you agree to the following terms and conditions.
1. Services Provided
We will provide video production and content creation services as described in the proposal, package, or statement of work (“Services”). Our services may include, but are not limited to, video production, photography, editing, social media management, content strategy, and delivery of final content.
2. Payment Terms
- Payment Schedule: A deposit of 50% is required to confirm your booking. The remaining balance is due upon completion of the project or as outlined in your payment plan.
- Late Payments: Payments not received by the due date are subject to a late fee of 10% of the total project fee per week.
- Hourly Rate: Any additional services outside of the agreed-upon scope will be billed at an hourly rate of £50 per hour.
- Refunds: No refunds will be issued after the project has commenced unless otherwise agreed upon in writing.
3. Revisions
- Standard Revisions: The package includes a specified number of revisions, typically two rounds of revisions per video or photo. Any additional revisions will be billed at an hourly rate of £50 per hour.
- Scope of Revisions: Revisions are limited to changes within the original brief. Significant changes to the scope of work or concept may incur additional fees.
4. Content Delivery & Turnaround Time
- Delivery Timeline: The turnaround time for final deliverables is specified in the project agreement. We aim to deliver content on time, but deadlines may shift due to delays in client feedback, project complexity, or unforeseen events.
- Content Formats: Final videos and images will be delivered in the agreed formats (e.g., MP4 for video, JPEG/PNG for photos) unless otherwise specified.
5. Client Responsibilities
- Availability for Collaboration: You agree to provide timely access to all necessary assets, such as logos, branding materials, and product details, as well as being available for consultations or meetings when required.
- Location and Equipment: You must provide the location for shooting (if applicable) and necessary equipment (unless otherwise agreed) for the production shoot.
- Clearance and Permissions: You are responsible for obtaining all necessary permissions and releases, including property releases, model releases, and copyright permissions for any third-party materials you provide.
6. Intellectual Property & Usage Rights
- Ownership of Final Deliverables: Upon receipt of full payment, you will own the final deliverables (e.g., videos, photos). However, ANEXTVID retains the right to use these assets in our portfolio, marketing materials, or for promotional purposes, unless otherwise agreed in writing.
- Licensing of Music and Media: We may include licensed music, stock footage, or other third-party media in your content. Any rights to such materials will be provided in accordance with the license agreement.
7. Cancellation & Termination
- Cancellation by Client: If you wish to cancel the project, you must notify us in writing. Cancellation fees may apply depending on the stage of the project:
- Prior to Shoot: 50% of the total project cost is due.
- After Shoot Commencement: 100% of the total project cost is due.
- Termination by Us: We may terminate the agreement if the client fails to meet payment terms, provide necessary materials, or cooperate as needed for the completion of the project.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the project, including but not limited to business strategies, financials, and marketing materials.
9. Liability
- Limitation of Liability: We are not liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the delivered content. Our liability is limited to the amount paid by the Client for the services provided.
- Force Majeure: We are not liable for delays or failure to perform due to circumstances beyond our control, including but not limited to natural disasters, pandemics, or technological failures.
10. Indemnity
You agree to indemnify and hold ANEXTVID harmless from any claims, losses, damages, or expenses (including legal fees) arising out of your use of the content or any breach of these terms.
11. Dispute Resolution
- Resolution: Any disputes arising from this Agreement will first be resolved through negotiation or mediation.
- International Clients: If the client is located outside the United Kingdom, any unresolved disputes may be subject to arbitration in the country or jurisdiction where the client is based, unless mutually agreed otherwise in writing.
12. Governing Law
- UK Clients: This Agreement will be governed by and construed in accordance with the laws of the United Kingdom.
- International Clients: For clients based outside the UK, the laws of the United Kingdom will govern the Agreement unless otherwise agreed in writing.
13. Miscellaneous
- Amendments: Any amendments to these terms must be in writing and signed by both parties.
- Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
